These Terms of Service (the "Terms") govern your access to and use of the Audity platform and services (collectively, the "Service"), provided by RAC Projects Group, LLC / Audity. By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.
Audity is an AI-powered business audit and analysis platform designed for AI agencies, business consultants, and transformation advisors. The Service provides AI-powered analysis of business documents and stakeholder interviews to generate professional audit reports, opportunity matrices, and strategic recommendations.
Your use of the Service is subject to your acceptance of these Terms. By clicking to accept, creating an account, or otherwise using the Service, you signify your agreement to these Terms. You must be at least 18 years of age or represent a valid business entity to use the Service.
To access and use the Service, you must register for an account. Registration requires a valid email address, business information, and a valid payment method. Audity offers different account types, including individual consultant accounts and agency/team accounts.
Audity may require email verification and payment method validation during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Audity immediately of any unauthorized use of your account or any other breach of security.
Audity reserves the right to suspend or terminate your account at its sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms. You may terminate your account at any time by following the instructions within the Service. Upon termination, Audity will retain your data for a period consistent with its data retention policies, as further detailed in our Privacy Policy.
Audity operates on a credit-based pricing model with various monthly and annual subscription plans. All payments are processed through Stripe, and your subscription will be automatically billed on a recurring basis.
Credits are consumed per audit, analysis, and report generation, as specified in your chosen plan. Details of credit consumption and plan features are available on our pricing page. Audity does not offer pro-rated refunds for cancellations. Your subscription will remain active until the end of your current billing period upon cancellation.
Audity reserves the right to modify its prices with 30 days' prior notice. In the event of failed payments, your account may be suspended after a grace period, and Audity reserves the right to pursue collection procedures.
The Service is provided for business audit and analysis purposes only. You agree not to engage in any prohibited activities, including but not limited to:
All uploaded content must consist of professional business documents only, and you agree not to upload any personal data unless explicitly required for the audit process and with appropriate consent. The availability of the Service may be subject to geographic restrictions.
All intellectual property rights in the Audity platform, including its AI models, algorithms, software, templates, and all associated content, are owned by Audity or its licensors.
Users retain all rights to the documents they upload to the Service and the reports generated by the Service based on their input. By uploading content, you grant Audity a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your uploaded documents and generated reports for the purpose of providing the Service to you.
To ensure Audity's continuous improvement and the development of valuable insights, you explicitly grant Audity a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the uploaded documents and generated reports for the purpose of:

AI Model Improvement: Training and enhancing Audity's underlying AI models, including those provided by third-party services, to improve the accuracy, relevance, and performance of audit analyses, report generation, and other platform functionalities. This includes analyzing data for quality assurance, prompt optimization, and model selection.
2. Anonymized Business Trends and Reports: Generating anonymized and aggregated business trends, reports, benchmarks, and other statistical analyses. These insights will be broad in nature and will not identify any specific business, user, or audit. Examples include, but are not limited to, industry-wide benchmarks, common pain points across various business sectors, and emerging strategic opportunities.
All data used for these purposes will be anonymized and aggregated to prevent the identification of individual users or businesses. Audity will employ industry-standard techniques to de-identify data before it is used for model training or trend analysis.
Audity grants you a license to use the generated presentations and reports for your business purposes.
Audity utilizes third-party AI service providers (e.g., OpenAI) to perform core AI processing functions. By using Audity, you acknowledge and agree that your uploaded documents and generated content may be shared with these third-party AI providers for the sole purpose of processing and improving the AI models. Audity will ensure that all third-party providers adhere to strict data protection and confidentiality standards.
While Audity strives for accuracy, it does not guarantee the completeness or accuracy of AI-generated outputs, and you are responsible for human validation of all results. Audity reserves the right to update its AI models, which may result in changes to output.
Audity aims for 99.5% uptime, excluding scheduled maintenance windows, of which users will be notified. The Service may have limitations on processing times and file sizes. Audity is not liable for service interruptions due to force majeure events or dependencies on third-party services such as OpenAI, Stripe, or cloud infrastructure providers.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Audity does not provide professional consulting advice. The AI analysis and reports generated by the Service are for informational purposes only and should not be considered professional advice. Audity does not guarantee the accuracy or completeness of AI analysis. You are solely responsible for validating all AI-generated outputs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUDITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. THE AGGREGATE LIABILITY OF AUDITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID AUDITY FOR THE SERVICE IN THE PAST TWELVE MONTHS.
You agree to indemnify and hold harmless Audity, its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party right, including without limitation any intellectual property right or privacy right.
Your use of the Service is also governed by Audity's Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy details how Audity collects, uses, and protects your data, including lawful bases for processing, international data transfers, and your data rights. Audity will notify users of any material changes to the Privacy Policy via email notification.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Reno, NV.
CLASS ACTION WAIVER
YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST AUDITY ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Audity reserves the right to seek attorney fees in any dispute resolution process.
By using Audity, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
